BY ACCESSING OR USING THIS WEBSITE OR ANY SERVICES PROVIDED BY INSTITUTIONAL TRADING ACADEMY LTD. (ITA), YOU IRREVOCABLY AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS ("TERMS" OR "AGREEMENT"). IF YOU DO NOT AGREE, YOU ARE PROHIBITED FROM ACCESSING OR USING THE SITE OR SERVICES. THESE TERMS CONSTITUTE A LEGALLY BINDING CONTRACT BETWEEN YOU AND ITA. READ CAREFULLY BEFORE PROCEEDING.
1. Overview and Scope
This website (the "Site") and all associated services (collectively, the "Services") are operated by Institutional Trading Academy Ltd. (company number 2025-00535, Saint Lucia), referred to in these Terms as "ITA," "The Company," "we," "us," or "our". Access to and use of the Site and Services are expressly conditioned upon your full acceptance of these Terms, including all policies, rules, and notices incorporated herein or linked via hyperlink (e.g., Privacy Policy, Responsible Trading Policy). These Terms govern all users, including but not limited to browsers, customers, traders, and contributors, without exception.
ITA may amend these Terms by publishing a new version with a new version number and effective date. An amendment applies to accounts opened, purchases made and withdrawal requests submitted on or after its effective date. ITA will publish an amendment that changes Section 6 or Section 15, together with its effective date, on this page and in the trader portal at least 7 days before it takes effect. ITA may suspend or discontinue the Site or the Services at any time, subject to Section 6 for Payouts already approved. The current version is always available at www.itafx.com.
DISCLAIMER: The Services are exclusively for simulated trading evaluations and do not constitute investment services, advice, or opportunities under any applicable law. ITA does not provide, and is not authorized to provide, investment guidance, recommendations, or instructions. No information or communication from ITA, its employees, agents, or representatives shall be construed as investment advice. ITA expressly disclaims all liability for any actions you take based on such information, and you assume full responsibility for your decisions.
The Services are restricted to individuals aged 18 or older residing in jurisdictions where the Services are legally available. By accessing the Services, you warrant that you meet these eligibility criteria and that your use complies with all applicable laws. ITA may, at its sole discretion, deny access to any individual or entity for any reason or no reason, without liability.
Definitions. "ITA", "ITAfx" and "ITA FX" mean Institutional Trading Academy Ltd. "Simulated Profit" means any profit, balance or figure displayed within an account. "Payout" means an amount ITA has approved under Section 6 for payment to you, including any bonus under Section 7(g) or 7(h). "Approval" means ITA's recorded decision to approve a withdrawal request, with its timestamp. "Trader Agreement" means the Independent Contractor Agreement electronically signed for each account. "Rules" means the published rules version incorporated into the Trader Agreement.
2. Trader Representations and Obligations
By using the Services, you represent, warrant, and covenant that:
- You are at least 18 years old, of sound mind, and possess full legal capacity to enter into this Agreement.
- If acting on behalf of an entity or third party, you have unequivocal authority to bind such party to these Terms, and you indemnify ITA against any claims arising from misrepresentation of such authority.
- Your use of the Services does not violate any law, regulation, ordinance, or pre-existing contractual obligation.
- You will provide true, accurate, current, and complete information as requested by ITA and promptly update it to maintain its accuracy.
- You will not assign, transfer, or share your account with any other person or entity without ITA’s prior written consent, which may be withheld at ITA’s sole discretion.
Any breach of these representations or obligations shall result in immediate termination of your access to the Services, forfeiture of all fees paid, and potential legal action, at ITA’s discretion.
3. Account Registration and Security
To access the Services, you must register an account and maintain the confidentiality of your credentials (e.g., username, password). You are solely responsible for all activities under your account, including unauthorized use resulting from your failure to secure your credentials. You must notify ITA immediately at support@itafx.com of any suspected breach. ITA is not liable for any loss, damage, or unauthorized access arising from your failure to safeguard your account. Only one active profile is permitted per individual, and violations may result in account termination and permanent exclusion from the Services.
4. Know-Your-Customer (KYC) Compliance
ITA reserves the right to require you to complete a KYC onboarding process, including submission of identification documents and personal information, to comply with anti-money laundering and counter-terrorism financing (AML/CFT) laws or internal policies. You must satisfactorily complete all verifications before accessing the Services and promptly notify ITA of any changes to your submitted information. Failure to comply, or provision of false, incomplete, or misleading information, shall entitle ITA to refuse, restrict, or terminate your access without notice or refund, at its sole discretion. ITA may obtain additional information about you from third-party sources without your knowledge, as permitted by law.
5. General Conditions
- Right to Refuse Service: ITA retains the unfettered right to refuse, restrict, or terminate service to any individual or entity at any time, for any reason or no reason, without liability.
- Data Transmission: You acknowledge that your content (excluding payment data) may be transmitted unencrypted across networks, and ITA is not responsible for any interception or alteration. Payment data is encrypted, but ITA disclaims no liability for breaches beyond its control.
- Prohibited Actions: You shall not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site or Services without ITA’s express written consent, which may be withheld at ITA’s sole discretion.
- Third-Party Access: ITA may grant third parties temporary access to the Site for maintenance or troubleshooting, under monitored conditions, without liability.
6. Payments and Refunds
All payments for Services (e.g., registration fees) are final, non-refundable, and solely for access to simulated trading evaluations. You acknowledge that the Service is delivered immediately upon payment, and no refunds or cancellations are permitted under any circumstances, including dissatisfaction, termination, or failure to meet evaluation criteria. ITA reserves the right to modify pricing at any time without notice.
(a) Displayed figures are provisional. Simulated Profit is a simulated, provisional calculation only. It is not an amount owed, an account payable or a debt of ITA, and it creates no payment obligation.
(b) Conditions precedent. No withdrawal request is eligible for Approval unless, at the time of the request and at the time of the decision: the account is in good standing under Sections 7 and 8; the current Rules and the Trader Agreement for that account have been electronically signed; identity, AML and sanctions verification under Section 4 is complete to ITA's satisfaction; a payout destination has been set by you in the portal; and no review under Section 11 is open.
(c) Approval is discretionary. ITA decides each withdrawal request individually, in its sole and absolute discretion, and may approve it in full, approve it in part or deny it, for any reason or no reason. The decision and its stated reason are recorded in your Wallet. Stating a reason is a courtesy and creates no right to re-examine the decision other than under Section 15.
(d) 24-Hour Payout Guarantee: Once a withdrawal request is approved, ITA guarantees payment within 24 clock hours (not business hours). The 24 hours run from the timestamp of the Approval. Payment is made when ITA's payment provider broadcasts the transfer to the payout destination on file at the time of Approval; confirmation times, exchange holds and anything after broadcast are outside ITA's control. Section 18 applies. If payment is late for a reason within ITA's control, your sole and exclusive remedy is payment of the approved amount; no interest, penalty or damages accrue.
(e) Destination. You are solely responsible for the accuracy and ownership of the payout destination you set. Payment to that destination discharges ITA's obligation for that Payout in full. ITA pays only on the networks listed in the portal. Network and transfer fees are borne by you.
(f) Set-off and reversal. ITA may set off against any Payout any amount you owe ITA. Where an Approval or a payment was made on the basis of a breach, fraud, manipulation, a platform error or a calculation later found to be wrong, ITA may reverse the Approval, withhold future Payouts and recover the amount paid, and you agree to repay it on demand.
(g) Taxes. You are responsible for all taxes on Payouts. ITA may withhold where required by law.
(h) Bonuses. Any bonus under Section 7(g) or 7(h) is payable only with, and on the same conditions as, the Payout it accompanies.
7. ITA Evaluation and Funded Stages
a. Maximum Loss Limits
You must not exceed the following maximum loss limits at any time during the Evaluation or Funded Stages. Instant on Demand uses a trailing drawdown measured from the highest equity reached. Its high-water mark is reduced by simulated profit paid in an approved payout, so the payout itself does not reduce risk room. Instant PRO uses a static drawdown measured from the starting balance:
- Instant Model: 6%
- Instant Funding Pro: 8%
b. Maximum Daily Loss Limits
You must not exceed the daily loss limit, based on the higher of starting equity or balance, reset at 00:00 CEST:
- Instant Model: 3%
- Instant Funding Pro: 4%
c. Profit Targets (Evaluation Stage)
Instant and Instant Pro accounts have no profit target during the Evaluation Stage.
d. Minimum Trading Days
- Evaluation: No minimum trading days on Instant or Instant Pro accounts.
- Funded: No minimum trading days on Instant or Instant Pro accounts.
e. Compliance Requirements
You must comply with real market principles, ITA’s trading rules (available at www.itafx.com), and the Responsible Trading Policy (Appendix A). Violations result in immediate termination without refund.
f. Termination for Non-Compliance
Failure to adhere to the above conditions during any stage shall result in account termination, forfeiture of all fees and simulated profits, and exclusion from further participation, at ITA’s sole discretion.
g. First Payout Bonus (Instant and Instant Funding Pro)
Instant accounts (also marketed as Instant on Demand) and Instant Funding Pro accounts (also marketed as Instant PRO) include a First Payout Bonus. On the trader’s first approved payout on a given Instant or Instant Funding Pro account, ITA credits an additional amount equal to the fee paid for that account, in addition to the trader’s profit share.
The First Payout Bonus:
- applies to all Instant (Instant on Demand) and Instant Funding Pro (Instant PRO) account sizes;
- is paid once per account, on the first approved payout only;
- requires the payout request to represent a simulated profit of at least 5% of the starting balance of that account, measured on the same starting balance used for the maximum loss limit in Section 7(a). A first payout request below this threshold is payable as a normal payout, and does not carry the bonus;
- requires the account to be in good standing and in full compliance with these Terms at the time of the payout request, including Sections 7(a), 7(b), 7(e) and Section 8. An account that has breached the maximum total loss or the maximum daily loss is closed and generates no payout, and therefore no bonus;
- is an additional payment and not a refund. All fees remain final and non-refundable under Section 6 and the Return Policy;
- is paid together with the approved payout, under the same 24-hour payment commitment set out in Section 6;
- carries no expiry date. It remains available on the first approved payout of the account for as long as the account is open and in good standing.
h. Instant PRO Launch Profit Bonus
During the launch promotion, Instant PRO carries a 100% base profit share plus a 20% launch bonus, for a total payout equal to 120% of eligible simulated profit.
- The promotion applies to an Instant PRO account purchased while the 120% launch offer is displayed as active on the Site and at checkout.
- Once attached to a qualifying purchase, the launch bonus remains part of that account while it is open, in good standing and compliant with these Terms.
- The 20% launch bonus is calculated on the eligible simulated profit approved for payout. It is distinct from the First Payout Bonus in Section 7(g) and is not a refund.
- ITA may end the promotion for future purchases by removing the offer from the Site, but will not remove it retroactively from a qualifying account already purchased while the offer was active.
i. Combined Simulated Capital
The maximum combined simulated capital a trader may manage across all active accounts is $400,000. Accounts added through the one-time post-purchase Instant PRO offer are the only exception: capital added at that offer may extend a trader’s combined ceiling up to $800,000. This extension is available exclusively at that offer, immediately after a purchase, and is not sold separately anywhere else on the Site.
8. Rules of Demo/Simulation Trading
- Inactivity: Accounts with no trades for 30 consecutive days will be terminated.
- Short-Term Trades: Profits from Master account trades closed within 1 minute are excluded, and any resulting breaches of loss limits are your responsibility. By default, the company does not allow reliance on extremely short trades <1 min as these are often too risky strategies and not replicable at institutional levels.
- News and Weekend Trading:
- News trading is permitted across all ITA’s accounts.
- Weekend trading/holding is permitted on Instant PRO Funded Accounts. If trades are held over the weekend on Instant accounts, it will be deemed a hard breach.
- Overnight Holding: This is allowed on all programs.
- Consistency Score: Instant on Demand (30%), meaning the most profitable trading day must not represent over 30% of total positive profit when a payout is requested. A request remains unavailable until further trading brings the score within 30%. Instant PRO has no consistency rule. For more information, refer to www.itafx.com “Rules”.
- Failure to meet this, delays/impacts progress at ITA’s discretion.
- Instant Funding PRO: not applicable

Prohibited Trading Practices
You are strictly prohibited from engaging in:
- Gap trading, high-frequency trading, latency arbitrage, hedging, reverse trading, tick scalping, server spamming, or opposite account trading.
- Third-party copy trading or account management (except approved trade/risk management EAs).
- Excessive risk-taking (e.g., over-leveraging beyond account capacity), gambling behaviour, overtrading, or exploiting platform errors.
- Any strategy deemed by ITA, at its sole discretion, to be manipulative, abusive, or inconsistent with responsible trading.
Violations may result in immediate account termination, profit deductions, leverage reductions, or service denial, without refund or compensation. ITA reserves the right to conduct risk assessments and interviews, withholding rewards until compliance is verified. For more examples, refer to Appendix A.
9. Intellectual Property
All content on the Site (e.g., text, graphics, software) is the exclusive property of ITA or its licensors, protected by copyright, trademark, and other laws. You are granted a limited, revocable, non-transferable license for PERSONAL USE ONLY. Any unauthorized use, reproduction, or distribution is prohibited and may result in legal action. You do not acquire any ownership rights in ITA’s intellectual property.
10. Third-Party Links and Services
The Site may include links to third-party websites or services not controlled by ITA. ITA disclaims all responsibility for their content, accuracy, or availability. Your use of third-party services is at your sole risk, and you must comply with their terms. ITA may restrict your access if a third-party provider blocks you for compliance reasons, without explanation or liability.
11. Risk Management and Compliance
ITA may, at its sole discretion, perform periodic risk reviews, including mandatory interviews, to detect prohibited activities (e.g., fraud, identity theft). You must participate fully, and failure to comply may result in service termination and reward forfeiture. ITA is not liable for losses due to your failure to apply adequate risk management.
ITA's determination of compliance or non-compliance with these Terms, the Rules and the Responsible Trading Policy, made by reference to its own systems of record, is final and binding on all parties, absent manifest error.
12. Prohibited Uses
You are expressly prohibited from:
- Using the Site or Services for any illegal, unethical, or unauthorized purpose.
- Infringing ITA’s or third-party intellectual property rights.
- Engaging in harassment, defamation, or malicious activities.
- Scraping, hacking, or circumventing security measures.
- Participating as an owner, employee, or affiliate of a competing proprietary trading firm.
- Registering multiple accounts without ITA’s written approval.
Violations result in immediate termination and potential legal action, at ITA’s discretion.
13. Disclaimer of Warranties; Limitation of Liability
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ITA does not guarantee uninterrupted, secure, or error-free operation, nor the accuracy or reliability of results obtained. You use the Services at your sole risk.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ITA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR USE) ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ITA’s total aggregate liability arising from or relating to these Terms, the Site or the Services, whether in contract, tort or otherwise, shall not exceed the greater of (a) the fees you paid to ITA in the 30 days preceding the event giving rise to the claim and (b) USD 100. No Payout, bonus, reward, Simulated Profit or other amount contingent upon trading results constitutes a liability, debt or account payable of ITA unless and until approved under Section 6, and any claim asserting otherwise is excluded. The remedies stated in these Terms are your sole and exclusive remedies.
14. Indemnification
You agree to indemnify, defend, and hold harmless ITA, its affiliates, officers, directors, employees, agents, and third-party partners from any claims, losses, damages, liabilities, or expenses (including reasonable attorneys’ fees) arising from:
- Your use or misuse of the Site or Services.
- Your breach of these Terms or any applicable law.
- Your violation of third-party rights.
ITA may assume control of any defense at its discretion, and you shall fully cooperate. This obligation survives termination of the Agreement.
15. Disputes & Arbitration
READ CAREFULLY: THIS SECTION LIMITS YOUR LEGAL RIGHTS.
15.1 Binding arbitration. Any dispute, claim or controversy arising from or relating to these Terms, the Trader Agreement, the Site or the Services, whether known or unknown, in contract, tort or otherwise, shall be finally resolved by binding arbitration before a sole arbitrator, conducted in English. Hearings may be held by video conference. The arbitrator, and not any court, decides all questions of the scope, validity and enforceability of this Section 15. Judgment on the award may be entered in any court of competent jurisdiction.
The seat of arbitration is Saint Lucia. The arbitration is conducted under the UNCITRAL Arbitration Rules. If the parties do not agree on an arbitrator, either party may request the Secretary-General of the Permanent Court of Arbitration at The Hague to designate an appointing authority under those Rules. This paragraph takes effect, for every account opened, purchase made, and withdrawal request or dispute submitted, on or after October 2, 2026; this publication on September 24, 2026 is the notice Section 1 requires. Before October 2, 2026, this Section 15.1 continues without a designated seat, rules or appointing authority, as published in Version 2.9.
15.2 Notice first. To initiate arbitration, you must send a written notice of your claim ("Notice") to:

The Notice must (a) describe the nature and basis of the claim or dispute, and (b) specify the relief sought. If we initiate arbitration, we will send a Notice to your registered email or address on file. If you and ITA do not resolve the dispute within 30 days of the Notice, either party may commence arbitration.
15.3 Waivers and costs. By agreeing to these Terms, you and ITA each irrevocably waive the right to:
- Bring claims in court or before a jury.
- Participate in class actions, consolidated claims, or representative proceedings.
If the class-action waiver is held unenforceable as to a particular claim, that claim shall proceed in the courts identified in Section 17 and not in arbitration on a class basis; the rest of this Section remains in force. Each party bears its own legal costs; arbitrator and administrative fees are shared equally unless the arbitrator decides otherwise.
15.4 Mandatory rights. Nothing in this Section 15, nor in these Terms generally, excludes or limits any right you have under mandatory consumer protection law of your jurisdiction of residence that cannot lawfully be waived by agreement. To the extent such a right conflicts with this Section, this Section 15.4 governs solely to the extent required by that law, and no further.
15.5 Time limit. To the extent permitted by law, any claim must be commenced within 12 months after it accrues, or it is permanently barred. This Section 15 survives termination of this Agreement or your use of the Services.
16. Termination
ITA may terminate or suspend your access to the Site or Services at any time, with or without cause or notice, including for suspected breaches. Upon termination:
- All rights granted to you cease immediately.
- You forfeit all fees paid and claims to rewards.
- Obligations (e.g., indemnification, confidentiality) survive.
You may terminate by ceasing use and notifying ITA, but prior obligations remain enforceable.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of Saint Lucia, without regard to conflict of law principles. Except where prohibited by mandatory local law, any dispute not subject to arbitration shall be resolved exclusively in the courts of Saint Lucia, and you consent to their jurisdiction and venue. Nothing in this Section prevents either party from enforcing an arbitral award in any court of competent jurisdiction.
18. Force Majeure
ITA shall not be liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, war, governmental actions, pandemics, or technical failures.
19. Entire Agreement; Severability
These Terms, including incorporated policies, constitute the entire agreement between you and ITA, superseding all prior agreements. If any provision is deemed invalid, it shall be severed, and the remaining provisions shall remain enforceable to the fullest extent permitted by law.
Order of precedence. In case of conflict: (1) the account-specific details of the signed Trader Agreement; (2) the Rules version incorporated into it; (3) these Terms; (4) the Responsible Trading Policy, the Return Policy and the Privacy Policy. Sections 6 and 15 of these Terms prevail over any inconsistent provision of the Trader Agreement. Translations of these Terms, where provided, are for convenience only; the English text prevails. Sections 6(a), 6(f), 6(g), 9, 13, 14, 15, 17, 18 and 19 survive termination.
20. No Waiver; Assignment
No waiver of any Term shall be effective unless in writing and signed by ITA. ITA may assign its rights and obligations under this Agreement at its discretion; you may not assign yours without ITA’s prior written consent.

Appendix A: Responsible Trading Policy
Objective: To promote ethical and prudent trading practices within a safe and structured framework.
Obligations
- Exercise caution in trading, steering clear of hasty choices and news-driven transactions.
- Implement effective risk management strategies (e.g., limiting risk to 1% or less per trade).
- Safeguard account capital and consistently evaluate trading performance.
- Adhere to all ITA guidelines and regulations.
Recommended Practices
- Develop and follow well-defined trading strategies.
- Refrain from reckless or speculative trading habits.
- Concentrate on mastering a select group of assets.
- Keep abreast of global events and market trends.
- Step away periodically to prevent excessive trading.
Penalties for Non-Compliance
Potential outcomes include account suspension, limitations on access, or forfeiture of performance-based rewards, at ITA’s sole discretion.
What Is Toxic Trading Flow (ITA FX Definition)
At ITA FX, Toxic Trading Flow refers to trading behaviours and practices that pose a risk to both the trader’s account and the stability of our funded trading programs. These types of activities are strictly prohibited because they undermine fair market participation, distort execution quality, and can threaten the overall integrity of our platform.
Examples of Toxic Trading Flow
Toxic Trading Flow encompasses a broad range of harmful trading behaviours, including but not limited to:
1. Excessive Risk-Taking & Over-Leverage
Taking on disproportionate risk relative to your account size or trading
strategy, such as trading with excessive leverage that leads to
overexposure and rapid drawdowns.
2. Gambling-Style Behaviour
Making impulsive trading decisions driven by emotion rather than sound analysis, such as repeatedly chasing losses or placing high-risk bets
without a clear strategy.
3. Overtrading
Opening and closing trades excessively without a systematic rationale,
which can erode performance and increase unnecessary risk.
4. High-Frequency Trading (HFT) & Tick
Scalping
Executing an abnormally high volume of ultra-short-duration trades in an
attempt to exploit fleeting market inefficiencies is considered abusive
and toxic.
5. Arbitrage and Latency Exploitation
Using strategies that capitalise solely on disparities in pricing
updates between venues or platforms, such as latency arbitrage or
cross-platform arbitrage, without genuine market exposure.
6. Poor Money Management
Repeated margin calls or risky trade sizing that reflects a lack of
basic risk controls poses a risk to both the trader and the trading
ecosystem.
7. Reverse Trading & Behavioural Red Flags
Patterns such as trading during non-liquid hours to exploit thin
liquidity or consistently ignoring risk rules can signal toxic intent
and disrupt fair execution.
Why Toxic Flow Matters
Toxic Trading Flow isn’t just a compliance term: it has real consequences for the trading environment. When toxic behaviours proliferate:
- Execution quality can deteriorate.
- Liquidity costs may rise.
- Fair pricing and risk allocation can break down.
- ITA FX’s ability to hedge and manage risk effectively may be compromised.
Our goal is to foster a level playing field where traders succeed based on skill, discipline, and sound risk management, not by exploiting system weaknesses or engaging in predatory trading practices.
Enforcement and Consequences
Engaging in Toxic Trading Flow may result in:
- Restrictions on leverage or trade sizes.
- Limits on the number of open positions.
- Adjustments to account risk parameters.
